Threefold Optima™ Terms & Conditions
The following outlines the key commercial and operational terms relating to the Optima™ solution. This summary is provided for guidance only and does not constitute the full contractual agreement.
Full terms, including detailed obligations, performance criteria and payment structure, are set out in the formal Optima™ Agreement executed between Threefold Energy and the Customer, which shall take precedence in all cases.
1. Solution Overview
- Installation of an on-site battery energy storage system (BESS) and associated electricity management system (EMS)
- System designed to optimise electricity usage, reduce costs and lower carbon emissions
- Integrated with site infrastructure and operated by Threefold Energy
2. Basis of Engagement
Optima is delivered under a formal agreement between Threefold Energy and the customer.
- Supply and installation of battery system and associated hardware
- Integration with existing electrical infrastructure
- Commissioning and system handover
- Access to performance dashboard and monitoring tools
3. Operation & Optimisation
- Threefold Energy retains operational control of the system to optimise performance
- The system is actively managed to reduce site electricity costs and optimise energy usage patterns
4. Customer Responsibilities
- Provide safe and suitable site conditions for installation
- Ensure necessary site access, permissions and compliance requirements
- Maintain existing grid connection and electrical infrastructure
- Cooperate with Threefold Energy in relation to system operation and data provision
5. Maintenance & Support
- No scheduled maintenance required during the first 12 months
- Ongoing maintenance provided by Threefold Energy thereafter
- Reactive maintenance included throughout the warranty period
- Annual maintenance schedule provided and updated as required
6. Contract Term
- Initial term aligned with system warranty period (typically 10 years)
- Automatically renews on a rolling annual basis unless terminated in line with contract terms
7. Payment Structure
The Optima™ system is delivered under an outright capital purchase model.
- Once the contract has been signed and an installation date confirmed, an invoice will be issued for 100% of the battery cost, payable on issue
- All payments are invoiced and payable in accordance with the agreed contract terms.
8. Ownership & Risk
- Customer owns the system as a capital asset
- Title transfers upon full payment
- Risk transfers upon delivery and installation
- Customer is responsible for ensuring appropriate insurance cover
9. Performance & Liability
- System installed and operated in line with industry standards
- Liability is limited in accordance with the formal contract
- Threefold Energy is not liable for indirect or consequential losses
10. Termination
- Either party may terminate in accordance with agreed contractual terms
- Early termination provisions and buyback options are defined in the full agreement
- Outstanding payments remain due upon termination
11. Legal & Governance
- Agreement governed by English law
- Subject to full contractual terms, conditions and definitions within the Optima Agreement
